Terms of Service
The plain rules for working together: what you get, when you pay, who owns what, and what we're each responsible for.
These terms are between PixPrompt LLC ("PixPrompt", "we"), a Wyoming limited liability company at 30 N Gould St, Ste R, Sheridan, WY 82801, USA, and the business ordering our services ("you"). By placing an order, paying an invoice or using our deliverables, you agree to these terms. If a written quote or order says something different, the quote or order wins for that order.
1. What we do
We produce ad creative for brands: short vertical video ads, static ads, product images and localized versions, as described on our website or in a written quote. Each order's scope is the package or quote you accepted.
2. Free samples
We sometimes make a free sample ad from a brand's public product page. Samples are watermarked, are for evaluation only, and may not be published or run as ads unless you order them. Making a sample doesn't create any obligation for either side.
3. Prices and payment
- Prices are in US dollars.
- Orders under $500 are paid upfront. Larger orders are paid 50% to start and 50% on delivery, before final unwatermarked files are released.
- Monthly plans are billed in advance each month. You can pause or cancel at any time, and the cancellation takes effect at the end of the period you've already paid for.
- We accept cards (through Stripe) and bank transfer.
- If a payment is late, we may pause work until it's paid.
4. Timelines and revisions
- Delivery times start once payment and everything we need from you (product links, assets, answers to the brief) have been received.
- Each order includes one revision round. Send all notes together within 5 business days of delivery. If we don't hear from you by then, the delivery is accepted.
- Revisions are changes within the original brief. New concepts, products or angles are a new order. Extra revision rounds are $75 each.
5. Your materials and your claims
- You confirm that you have the rights to everything you send us, including photos, logos, music and product information, and that we may use it to make your ads.
- You are responsible for the accuracy and legality of every product claim in your ads. Review and approve each ad before it runs, and make sure it complies with the rules of the platforms you use (such as Meta and TikTok) and with advertising law (such as FTC rules).
- We don't make medical claims, fake testimonials or before-and-after comparisons, and we may decline work that requires them.
6. AI-made content
We produce deliverables with AI tools, then edit and review them by hand. AI output can contain small errors, such as altered text on packaging or unnatural details. Check every deliverable before publishing it, and tell us about any problems in your revision round.
7. Who owns the work
- Once your order is paid in full, you own the final deliverables. Use them on any channel, in any market, for as long as you like, with no creator or usage fees.
- Third-party parts inside a deliverable, such as licensed music, stock elements or fonts, are licensed for use within that deliverable, not on their own.
- We keep our tools, templates, prompts and working methods.
- We may show finished work in our portfolio. If you'd prefer we don't, tell us in writing and we won't.
8. Refunds
If you cancel before we start production, we refund your payment in full. Once production has started, payments aren't refundable. If we can't deliver what was ordered, we refund the part we couldn't deliver.
9. No performance guarantee
Ad results depend on your product, offer, targeting, budget and platform, which we don't control. We don't guarantee any specific result, such as ROAS, click-through rate or sales.
10. Confidentiality
Each of us will keep the other's non-public business information confidential and use it only to carry out the order.
11. Liability
To the extent the law allows, our total liability for any order is limited to the amount you paid for that order, and neither of us is liable to the other for indirect or consequential losses, such as lost profits. You agree to cover claims brought against us because of materials you supplied, claims you approved, or how you used the deliverables.
12. Ending work
Either of us may end an ongoing engagement with written notice. Work already paid for will be completed or refunded under section 8. Sections 5, 7, 9, 10 and 11 continue after the work ends.
13. Governing law
These terms are governed by the laws of the State of Wyoming, USA.
14. Changes
We may update these terms. Changes apply to orders placed after the new effective date shown at the top of this page.
